Свободное заключение сделок со связанными лицами резко ограничивается в Азербайджане
Открыто общественное обсуждение проекта поправок в Гражданский кодекс Азербайджана, связанных с регулированием крупных сделок коммерческих организаций.
Соответствующий законопроект размещён на портале www.icazeler.gov.az, и его открытое обсуждение ведётся до 21 мая.
В соответствии с ним сделки со связанными лицами, эквивалентные 5% и более от активов открытых акционерных обществ (ОАО) и обществ с ограниченной ответственностью (ООО), должны санкционироваться общим собранием акционеров/учредителей этих организаций при обязательном наличии заключения со стороны внешнего аудитора. При этом связанные лица обязаны раскрывать свой интерес к одной из сторон сделки.
